Terms of Service

Plain language: This is a legal document, but we've written it to be clear. In short: you use Neartool as-is, you're responsible for your images and the output, and we can't guarantee the results are correct or meet any accessibility standard.

1. Acceptance of Terms

By accessing and using Neartool, you agree to these terms. If you don't agree, please don't use the service.

2. Service Description

Neartool provides AI tools that analyze images on your device and generate:

  • Alt text (descriptions for web images)
  • Image descriptions and captions
  • Hashtags for social media
  • Product descriptions

These outputs are generated by AI and are provided as drafts only. They may be incomplete, inaccurate, or miss important context.

3. AI Output Is a Draft

Disclaimer: All output from Neartool is a starting point. You are responsible for reviewing, editing, and verifying every piece of content before publishing or using it.

The AI may:

  • Misinterpret or misidentify objects, people, or text in images
  • Generate inappropriate, biased, or inaccurate descriptions
  • Omit important details or context
  • Generate descriptions that violate third-party rights

You must review all output and take full responsibility for what you publish.

4. Your Responsibility for Content

You represent and warrant that:

  • You own or have rights to all images you upload to Neartool.
  • You have permission to process those images and create derivative works (descriptions, alt text, etc.).
  • Your use of Neartool complies with all applicable laws and third-party rights (copyright, privacy, data protection).
  • You will not use Neartool to generate content that violates any law, defames anyone, or infringes rights.

You are liable for any harm caused by your use of Neartool or the content you generate with it.

5. Acceptable Use

You agree not to use Neartool to:

  • Upload images that contain malware, viruses, or malicious code.
  • Generate alt text, descriptions, or content that is illegal, defamatory, abusive, hateful, or harassing.
  • Violate anyone's privacy, copyright, trademark, or other intellectual property rights.
  • Bypass or interfere with Neartool's security, including attempting to access other users' data or the model itself.
  • Use Neartool for automated, high-volume processing beyond reasonable personal or business use (abuse detection reserve the right to block excessive use).
  • Sell, resell, or provide Neartool output as a primary product or service without adding significant value.

Violation of these terms may result in suspension or termination of your access.

6. No Accessibility or Legal Guarantees

Neartool provides tools to help draft content, not to guarantee compliance with any standard. Specifically:

  • WCAG, ADA, AEA, GDPR: We cannot and do not guarantee that output meets any legal or accessibility requirement. These are complex and context-dependent; human review is essential.
  • Accuracy: AI output may be wrong. We cannot guarantee it is accurate or complete.
  • Fitness for purpose: Neartool is provided as-is, for draft generation only. We make no warranty that it will meet your specific needs.

You must:

  • Have a qualified human review all output for accuracy, appropriateness, and compliance.
  • Make final decisions about what to publish or use.
  • Take responsibility for the consequences of published content.

7. Limitation of Liability

To the maximum extent permitted by law:

Neartool is provided "as-is" without any warranty, express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

You use Neartool at your own risk. We are not liable for:

  • Any errors, omissions, or inaccuracies in AI-generated content.
  • Loss of data, files, or any other content on your device.
  • Loss of revenue, customers, or business from inaccurate output.
  • Any claims arising from your use of Neartool or the output you generate.
  • Downtime, interruptions, or unavailability of the service.
  • Third-party actions, including but not limited to browser updates, Chrome changes, or model availability changes.

8. Indemnification

You agree to indemnify and hold Neartool harmless from any claims, damages, or costs arising from:

  • Your use of Neartool
  • Content you generate or publish using Neartool
  • Your violation of these terms
  • Your infringement of any third-party rights

9. Privacy

Your use of Neartool is governed by our Privacy Policy. By using Neartool, you consent to our collection and use of data as described there.

10. Modifications & Discontinuation

We reserve the right to:

  • Modify, update, or change Neartool at any time.
  • Discontinue or suspend the service with or without notice.
  • Remove or limit access to certain features or content.

We will try to give notice of major changes, but we are not obligated to do so.

11. User Accounts & Content

Neartool does not require accounts for v1. All processing happens on your device and is stored locally in your browser. We do not store your images, results, or user data on our servers.

If you clear your browser data, all local drafts and settings will be deleted.

12. Third-Party Services

Neartool relies on:

  • Chrome's built-in AI: Subject to Chrome's terms and availability. We cannot guarantee it will always be available or work as expected.
  • Cloudflare (hosting): Subject to Cloudflare's terms and SLA.
  • Google Analytics & Ads: Subject to Google's terms.

We are not liable for third-party service disruptions or changes.

13. Intellectual Property

Our IP: Neartool, its code, design, and trademarks are our property. You may use the service as provided but may not copy, modify, or distribute it without permission.

Your IP: You retain all rights to content you upload. By using Neartool, you grant us the right to process and analyze your images on-device only (no storage or secondary use).

Output: You own the descriptions and alt text you create with Neartool. However, if they are substantially generated by AI, you are responsible for reviewing them for accuracy and rights compliance.

14. Governing Law

These terms are governed by the laws of [Governing jurisdiction], without regard to conflict of laws principles.

15. Dispute Resolution

Any disputes arising from these terms or your use of Neartool shall be resolved:

We may update these terms at any time. Changes will be posted here. Continued use of Neartool means you accept the updated terms.
